Representation and Covenant of Not Constituting Antisocial Forces
I (including cases where I fall under a corporation; the same shall apply hereinafter) hereby represent and covenant as follows to SBI Remit Co., Ltd (the “Company”):
- １．I hereby represent that neither I nor any of my officers, etc. (hereinafter, “such party” in this Section 1) is currently an organized crime group, a member of an organized crime group, a person for whom five (5) years has not yet passed since ceasing to be a member of an organized crime group, a quasi-member of an organized crime group, an enterprise affiliated with an organized crime group, a corporate racketeer, etc., a party acting under the auspices of social activism and the like, a violent organization employing specialized knowledge, or any other similar party (hereinafter collectively referred to as “an antisocial force, etc.”), and that none of the following items apply to such party, and I hereby covenant that none of the following items will apply to such party in the future:
- (1) Having any relationship whereby such party is deemed to be controlled by an antisocial force, etc.;
- (2) Having any relationship whereby an antisocial force, etc. is deemed to be involved in the management of such party in a substantial way;
- (3) Having any relationship whereby such party is deemed to be using an antisocial force, etc. in a wrongful way, including, without limitation, for the purpose of gaining illegal profit for itself, or its company or a third party, or causing damage to any third party;
- (4) Having any relationship whereby such party is deemed to be involved with an antisocial force, etc., by providing funds or favors thereto; or
- (5) Having any relationship wherein any officer or other person substantially involved in such party’s management is in a socially reprehensible relationship with an antisocial force, etc.
- ２．I hereby covenant not to perform or cause a third party to perform any of the following acts:
- (1) Violent demands;
- (2) Unjust demands to any other party going beyond such other party’s legal responsibilities;
- (3) Acts of violence or menacing statements in relation to a transaction;
- (4) Spreading of rumours, use of fraudulent means or use of force to harm the reputation of the Company or the Company’s business; or
- (5) Any other acts similar to those listed above.
- ３．The Company shall be entitled, without being required to provide me with any notice or to follow any other procedures, to immediately suspend all or part of the transactions with me or terminate all or part of the contracts with me in the event of my breach, or any reasonable doubt of my breach, of any covenant among the foregoing items. In addition, I acknowledge that: (i) the Company shall not be obligated to explain or disclose to me any materials or information concerning the contents and grounds of said reasonable doubt; and (ii) even if I incur any damage, etc. arising out of or in connection with such suspension of transactions or termination of contracts, the Company shall not be liable for any and all such damage.
- ４．In the event that the Company incurs any damage due to my breach of any of the covenants set forth in the first and second paragraphs hereof, I hereby agree to be liable to provide compensation for such damage.
